PCS EDVENTURES! RESPONDS TO SEC COMPLAIN August 31st, 2010

BOISE, Idaho – August 31, 2010 — PCS Edventures!.com, Inc. (OTCBB: PCSV-News) today announced that, on August 27, 2010, it obtained a copy of a complaint filed by the U.S. Securities and Exchange Commission (SEC) commencing a civil lawsuit against PCS, its Chief Executive Officer Anthony A. Maher, and its former Chief Financial Officer Shannon Stith.

The suit, filed in the U.S. District Court for the District of Idaho, pertains to a March 28, 2007 press release and related SEC Report announcing that PCS had entered into a license agreement with its Middle East distributor, Global Techniques, involving the sale of PCS educational products and services in Saudi Arabia as part of the King Abdullah Project for the Development of Public Education.  The SEC alleges that the announcement, as well as subsequent reports filed with the SEC, were false and misleading because Global Techniques did not have the ability to pay the $7.15 million license fee without first obtaining a contract and receiving funds from the Kingdom of Saudi Arabia, and that PCS officers knew that Global Techniques did not have a contract with Saudi Arabia.  According to the SEC, the announcement caused the price and trading volume of PCS stock to be artificially inflated.  The SEC seeks a court order enjoining PCS, Maher and Stith from committing future violations of federal securities laws, barring Maher and Stith from serving as public company officers or directors, and imposing civil penalties on PCS and the individuals.

The allegations in the SEC complaint present a one-sided version of the facts. The objective evidence available to PCS at the time of the March 2007 press release and related SEC report supported the good faith belief of PCS and its management that the Saudi education initiative had been approved and was moving forward with PCS as a part of the program, and that PCS had a material contract that needed to be disclosed:

  1. PCS had spent years developing business relationships in Saudi Arabia through Global Techniques and had conducted several successful pilot programs in Saudi Arabia.
  2. In December 2006, a senior official in the Saudi Ministry of Education endorsed the use of PCS products and recommended that the contract for PCS products move forward.
  3. In February 2007, King Abdullah and his Counsel of Ministers announced that the $3 billion educational initiative had been approved and would start right away.
  4. During March 2007, Global Techniques’ Dr. Refai assured PCS that Global Techniques had the contract, advising PCS that deliveries of PCS products to Saudi Arabia would need to begin immediately and that funds would be received within a matter of weeks.

    The SEC’s charges are unfounded in fact or law.  PCS and Mr. Maher intend to vigorously defend the SEC action. The Company, in spite of this claim, will continue to focus its efforts on domestic and international business opportunities and key strategic objectives.

    PCS Edventures Announces Partnership wit August 16th, 2010

    PCS Edventures Announces Partnership with STEM Academy

    BOISE, Idaho – August 16, 2010 – PCS Edventures!.com, Inc. (OTCBB: PCSV-News), a leading provider of K-16 educational programs utilizing hands-on manipulatives, computer technology and robotics that focus on Science, Technology, Engineering and Mathematics (STEM), today announced a partnership with STEM Academy to supply robotics materials and curriculum for 6th and 8th grades within schools in the STEM Academy network.

    The STEM Academy is a new, national, non-profit organization dedicated to improving K-12 STEM literacy. The STEM Academy curriculum was collaboratively developed by K-12 teachers, university educators, industry partners, vendor partners such as PCS, and engineering and biomedical professionals, to deliver a powerful STEM learning experience to students. Through close educator collaboration, special consideration has also been made to ensure the engagement of the minority student population, a special focus of the STEM Academy solution.  The STEM Academy network of schools launches this Fall, and its expansion will be determined by funding opportunities from state, federal, and private entities that align with the STEM Academy mission.  Nearly 700 schools have already submitted letters of intent to join the STEM Academy network and are collaboratively seeking funding solutions with the STEM Academy.

    PCS will provide robotics courseware and lab materials for STEM Academy students at the 6th and 8th grade levels, while providing teacher training and support as necessary for educators as they come online with the program.  PCS content will be digitally enhanced and delivered through the STEM Academy Learning Management System (LMS), which has powerful tracking and assessment features to validate student outcomes.  Performance data will be shared with PCS to facilitate ongoing improvements and enhancements to the PCS content.

    The Brain - The PCS Robotic Micro-Controller

    Important components included in the lab materials are the PCS Brain Robotic Controller and The PCS Cortex Programming Software.     PCS Edventures Announces STEM Robotics Y June 21st, 2010

    PCS Edventures Announces STEM Robotics Youth Camp Contract with United States Air Force

    Boise, Idaho – June 21, 2010 – PCS Edventures!.com, Inc. (OTCBB: PCSV-News), a leading provider of K-12 educational programs utilizing hands-on manipulatives, computer technology and robotics that focus on Science, Technology, Engineering and Mathematics (STEM), today announced  a contract from the United States Pacific Air Forces to develop and facilitate youth robotics camps at seven air bases in the Pacific region this year.

    The contract calls for weeklong spring break/summer/winter break camps that focus on developing youth skills in science, technology, engineering and math through experiences with building and robotics.  The program is designed for youths 6 to 18 years of age, and the camps will be held between June 24, 2010 and December 31, 2010 for students at Eielson AFB, Alaska; Elmendorf AFB, Alaska; Hickam AFB, Hawaii; Kadena AB, Japan; Misawa AB, Japan; Osan AB, Korea; and Yokota AB, Japan.  PCS robotics materials will play a key role in the camps, and PCS instructors will conduct the programs.

    PCS Edventures Raises $450,000 in Privat May 26th, 2010

    Boise, Idaho – May 26, 2010 – PCS Edventures!.com, Inc., (OTCBB: PCSV-News), a leading provider of K-16 programs that emphasize hands-on student experience in Science, Technology, Engineering and Math (STEM), today announced the completion of a private placement that raised $450,000 in net equity capital.

    The private offering was fully subscribed by current shareholders and accredited investors who purchased 750,000 shares of PCSV common stock at a price of $0.60 per share.  The price at which the offering was completed represented a 10% discount from the closing price of PCSV common stock on the OTC Bulletin Board on the date of the offering.  Investors also received common stock purchase warrants equivalent to 33% of the number of common shares purchased in the offering.    Each stock purchase warrant expires in 24 months and allows the warrant holder to purchase shares of PCSV common stock at a price of $0.60 per share.

    PCS Edventures Reorganizes Into Strategi April 15th, 2010

    BOISE, Idaho-April 15-PCS Edventures!.com, Inc., (OTC Bulletin Board: PCSV) a leading provider of K-12 programs that focus on Science, Technology, Engineering and Mathematics (STEM), today announced that the Company has restructured its operations into four strategic business units (SBUs) to better focus its marketing efforts and improve the efficiency of product development, fulfillment, and overall operations.

    The new business units include (1) Technology Education, which targets the Company’s robotics and engineering programs for the Middle and High School technology educational market; (2) K-6 Classroom, which includes PCS’ professional development and student-centered learning products for the elementary classroom; (3) Afterschool, which targets PCS’ enrichment programs for the lucrative Afterschool market segment; and (4) International, which focuses upon specialized STEM programs that involve specific International opportunities.

    PCS Edventures COO Adopts 10b5-1 Plan April 2nd, 2010

    Boise, Idaho – April 1, 2010 – PCS Edventures!.com, Inc. (OTCBB: PCSV-News), a leading provider of K-12 programs that focus on Science, Technology, Engineering and Mathematics (STEM), today announced that Robert O. Grover, the company’s COO, President and Chief Technology Officer, has adopted a prearranged trading plan in accordance with guidelines specified by Rule 10b5-1 under the Securities and Exchange Act of 1934 and the company’s policies related to sales by insiders.

    Rule 10b5-1 permits public company officers, directors and other insiders to adopt written, pre-arranged stock trading plans when they are not in possession of material nonpublic information.  Using these plans, insiders may gradually diversify investment portfolios and spread stock sales over a period of time, regardless of any material nonpublic information they may receive after adopting the plan.

    Under his 10b5-1 plan, Mr. Grover intends to sell, each month for twelve months beginning in April 2010, that number of shares of PCS common stock necessary to generate $5,000 plus brokerage commissions.  In accordance with Rule 10b5-1, Mr. Grover will not have any discretion over timing or amount of sales of PCS stock under his plan.  Prior to the effective date of the plan, Mr. Grover sold 24,738 shares of PCS common stock to help meet personal financial planning goals.  This 10b5-1 plan will facilitate the orderly sale of common stock for personal financial planning purposes with the goal of minimizing any market impact and avoiding any concerns about the timing of the transactions.  Mr. Grover’s sales of PCS stock under this plan will be publicly reported to the Securities and Exchange Commission in accordance with applicable securities laws, rules and regulations.

    PCS and THINK Together November 13th, 2009

    ThinkTogetherPCS is pleased to announce the successful implementation of our new Academy of Robotics Labs to multiple THINK Together sites. THINK Together is the largest non-profit after-school organization in Southern California. PCS has worked with THINK Together for several years and initially implemented a large amount of BRICKLabs into their after-school programs 3 years ago. THINK Together recently received a grant from Southern California Edison and Edison International to increase Math & Science test scores for middle school students by purchasing PCS Academy of Robotics Labs. The labs have now been implemented in 41 middle schools throughout Southern California and the facilitators have finished their professional development training to make the new Robotic program a success.

    PCS Announces Systemic Institute Success October 22nd, 2009

    Boise, Idaho – October 20, 2009 -PCS Edventures (OTCBB: PCSV-News) today announced the successful start of the second year of the Idaho SySTEMic Solution, a U.S. Department of Education funded initiative to advance STEM (science, technology, engineering and mathematics) achievement, enthusiasm and confidence among elementary–age and middle school learners and their teachers. PCS Edventures! provides learning materials, teacher education workshops and consulting services for the initiative, which is led by Boise State University, the recipient of the U.S. Department of Education award.

    SySTEMic is being implemented and studied in seven schools in the Meridian Joint School District, the largest district in Idaho. The overarching vision of Idaho SySTEMic Solution is for participating elementary school students to progress to middle school and high school with greater interest and abilities in STEM, to provide an inquiry learning educational model that will be transferable throughout Idaho and to other states, and to equip teachers to foster STEM interest and literacy. SySTEMic provides a model of hands-on, project-based learning through the use of the PCS BrickLab.

    “Through project-based experiential learning, children solve problems, think creatively and critically and become comfortable with math and science, and more engaged and motivated to learn,” said Louis Nadelson, an assistant professor of curriculum, instruction and foundational studies at Boise State University and a co-principal investigator on SySTEMic.

    The first two years of the Idaho SySTEMic Solution have focused on teachers, with the goal of supporting their STEM content knowledge, instructional practices, awareness of engineering, and overall confidence in teaching STEM concepts. Teachers attend a three-day Idaho SySTEMic Summer Institute, then implement hands-on lessons in their elementary classrooms throughout the school year, with support from Boise State and PCS staff. Last year 38 teachers participated, and this year an additional 37 have joined the project.

    This model works extremely well because educators are continually supported and encouraged to use the materials in the classroom, rather than just experiencing a workshop and returning to “business as usual” in the classroom. Teachers are busy and this approach was designed to fit into their typical school day — not making it more difficult, rather, making it more engaging. In addition, our customers overseas find this model very useful because student-centered learning approaches such as those used in our lab programs are quite new to them. Continual, consistent support is very helpful, and the multiple approaches to this reinforcement help overcome many of the challenges created by language and cultural differences.

    The final piece of the model is establishing high standards of completion for educators and rewarding them with continuing education credits from an accredited University. For example, the SySTEMic project in Southwestern Idaho awards credits from Boise State University, and we have also developed relationships with other universities where necessary. Our training program in Riyadh, Saudi Arabia, last year for example, involved training teachers from 50 schools. Teachers who successfully completed the training receive continuing education credits from Idaho State University.

    BSU’s Nadelson is studying the program’s effectiveness along with Boise State’s SySTEMic Solution’s research team including principal investigator Janet Callahan, associate dean of engineering; Pat Pyke, director of engineering education research; and Anne Hay, SySTEMic Solution project coordinator. At the close of the first year, this project has assembled considerable quantities of data that are being closely analyzed. The team presented its first set of data, on the summer institute, at the 2009 annual conference of the American Society for Engineering Education. To summarize, pre-and post-institute measures analyses revealed statistically significant teacher increase in confidence to teach STEM curriculum, positive increase in engineering attitudes, and increase in STEM teaching efficacy over the course of the three-day workshop. The team attributes these changes to the content and context of the summer institute, and is currently analyzing the data on school-year implementation.

    The success of the Idaho SySTEMic Solution has also drawn support from the Idaho National Laboratory (INL), which funded 20 classrooms for a similar project in schools in rural Idaho. PCS held a BrickLab workshop for these teachers in October.

    Notes: The Idaho SySTEMic Solution projects were funded in fiscal year 2008 and fiscal year 2009 by awards from the U.S. Department of Education fund for the Improvement of Education. Boise State University was awarded $191,593 in fiscal year 2008, which represents 100% of the SySTEMic project’s total costs, and $190,000 in fiscal year 2009, which represents 98% of the SySTEMic project’s total costs. The BrickLab workshop sponsored by Idaho National Laboratory is a separate program and not part of the U.S. Department of Education award.

    PCS Edventures Product Development Advan October 8th, 2009

    Boise, Idaho – October 8, 2009 – PCS Edventures (OTCBB: PCSV-News) today announced its expanding relationship with K’NEX Education™, a division of K’NEX® Brands, LP. PCS initially allied itself with K’NEX in February of 2004, developing new PCS lab programs around K’NEX materials. Since that time, PCS has developed extensive materials around the KID K’NEX line for its early childhood programs and is now releasing its first robotic integration activities using K’NEX manipulatives and the PCS robotic controller, the PCS Brain.

    Teresa Kross, Director of the PCS Little Edventures product line, designed the BrainOsaurus Literacy and Biology Labs based on the PCS Merit System using KID K’NEX and K’NEX manipulative packages. The program’s modular framework provides an easy-to-follow guide that includes comprehensive, age-appropriate solutions for students 3 to 6 years of age. Students are able to naturally move from directed activities to increasingly open-ended, project approach activities. The BrainOsaurus Labs are created to meet a wide range of students’ developmental abilities in variety of educational settings.

    Students from the Galileo Math and Science Magnet School in Meridian, Idaho meet weekly in the PCS Engineering Lab to build projects and enhance classroom studies using K’NEX. Students build in small groups, individually, and often compete in class cooperative challenges pitting their designs against other grade-levels. Students follow step-by-step plans to complete motorized machines and vehicles. Students then use that building knowledge to create their own unique machines using the design process.

    The PCS Brain offers multiple ways to integrate with K’NEX, K’NEX Bricks, and MicroK’NEX manipulatives. Adding the Brain to existing K’NEX models or new construction is very easy and with multiple ways to connect, there’s no limit to what students can create.     The first delivery of the new robotics activities will be to the Al Riyadh private school in Riyadh, Kingdom of Saudi Arabia, for implementation into the PCS 4th grade technology program launching this month. PCS and K’NEX signed a distribution agreement earlier this year that assigns exclusive rights to PCS to market the K’NEX Education line into a number of Middle Eastern countries including Algeria, Bahrain, Egypt, Iraq, Jordan, Lebanon, the UAE, Saudi Arabia and others.
